Dear Ms. Hazel:

Pursuant to our recent discussions, we have re-examined the documents
identified in your August 20 letter. Attached hereto are lists of the
documents that we agree to re-designate as "confidential," documents
that we will re-designate as "confidential" after redacting pricing,
customer, sales strategy or other sensitive information, and documents
that will remain as "attorney's eyes only."

We anticipate completing our redaction and re-designating of documents
by the end of next week. In the meantime, feel free to share the
documents identified on the first list with Mr. Dorton. If, in light
of the concessions made in this letter, you still believe that the
remaining documents are unprotected, please let me know immediately,
so that we may prepare a motion.
