AFFIDAVIT OF ERIC EDWARDS IN SUPPORT OF HIS REPLY MEMORANDUM IN
FURTHER SUPPORT OF HIS MOTION TO DISMISS FOR LACK OF PERSONAL
JURISDICTION

I, Eric Edwards, state:

1. The following facts are true of my own personal knowledge. If
   called upon to do so, I could and would competently testify to
   these facts. I am a defendant in this action. I am currently
   employed as a Vice President of Sales for defendant Digital Insight
   Corporation ("DI").

2. I have reviewed the email messages attached as Exhibits 8 and 11
   to Plaintiff's Opposition to Eric Edwards's Motion to Dismiss.

3. Prior to receiving those messages, I did not ask or direct Gifford
   Dunn to obtain and send me the information contained in such
   messages. Nor was I aware, at the time, that the materials attached
   to those messages was sent from a computer system in Texas.

I declare under penalty of perjury under the laws of the United States
of America that the foregoing is true and correct.
